Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of CEMR (Clinical Electronic Medical Records), a healthcare management platform developed and operated by Pawrat Technologies (“CEMR,” “we,” “our,” or “us”).
By creating an account, accessing, or using the CEMR platform, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the platform.
1. About CEMR
CEMR is a cloud-based healthcare management platform designed to assist clinics, hospitals, and healthcare organizations in managing:
- Electronic medical records
- Patient registration and appointments
- Clinical workflows
- Laboratory management
- Pharmacy management
- Billing and invoicing
- Financial reporting
- Administrative operations
2. Eligibility
You may use CEMR only if:
- You are at least 18 years of age;
- You are authorized to act on behalf of a healthcare facility or organization; and
- Your use of the platform complies with all applicable laws and regulations.
3. Account Registration
To use CEMR, clinics and healthcare facilities must create an account and provide accurate and complete information.
You agree to:
- Maintain accurate account information;
- Keep your login credentials secure;
- Restrict unauthorized access to your account; and
- Accept responsibility for all activities that occur under your account.
4. Free Trial
Every newly registered clinic is entitled to a 30-day free trial of the CEMR platform.
During the trial period:
- Clinics have access to the platform’s features and functionality as determined by CEMR.
- No subscription payment is required.
At the end of the 30-day trial period, continued access to the platform requires an active paid subscription.
5. Subscription and Renewals
After the free trial expires:
- The clinic must subscribe to an appropriate CEMR plan to continue using the platform.
- Subscription fees are payable in advance according to the selected billing plan.
- Subscription fees are non-refundable unless otherwise stated in writing by CEMR.
Failure to renew a subscription may result in restricted access to the platform.
6. Suspension and Deletion of Inactive Accounts
If a clinic fails to renew its subscription after the expiration of its plan:
- The clinic’s account may be suspended and access to the platform may be restricted.
- CEMR will retain the clinic’s data for a grace period of up to sixty (60) days from the date of subscription expiry.
- If the subscription is not renewed within the 60-day period, CEMR reserves the right, at its sole discretion, to permanently delete the clinic’s account, patient records, and all associated data from its systems.
- Once deleted, data may not be recoverable.
Clinics are solely responsible for ensuring timely subscription renewals and maintaining backups of any information they deem necessary.
7. Data Ownership
All patient and clinic data entered into the platform remain the property of the respective healthcare facility.
CEMR does not claim ownership of clinic or patient records.
However, CEMR reserves the right to manage, store, process, and delete data in accordance with these Terms and applicable laws.
8. Acceptable Use
Users agree not to:
- Use the platform for unlawful purposes;
- Attempt to gain unauthorized access to the platform or another clinic’s data;
- Upload malicious software or harmful code;
- Interfere with the operation or security of the platform;
- Use the platform in a manner that violates patient privacy or applicable laws.
9. Security Responsibilities
Healthcare facilities are responsible for:
- Maintaining the confidentiality of login credentials;
- Managing staff access permissions;
- Complying with applicable healthcare and privacy regulations;
- Ensuring that authorized personnel use the platform responsibly.
10. Intellectual Property
All software, trademarks, logos, content, designs, and technology associated with CEMR are the exclusive property of Pawrat Technologies and are protected by applicable intellectual property laws.
Nothing in these Terms grants users ownership rights over the CEMR software or its underlying technology.
11. Service Availability
We strive to provide reliable and uninterrupted access to the platform. However, CEMR does not guarantee that the service will be available at all times and may occasionally be interrupted due to:
- Maintenance activities;
- System upgrades;
- Security incidents;
- Circumstances beyond our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by law, CEMR and Pawrat Technologies shall not be liable for:
- Loss of profits;
- Loss of business opportunities;
- Loss of data resulting from the clinic’s failure to renew its subscription within the specified period;
- Indirect, incidental, special, or consequential damages arising from the use of the platform.
13. Termination
CEMR reserves the right to suspend or terminate any account that:
- Violates these Terms;
- Engages in unlawful activities;
- Compromises the security or integrity of the platform;
- Fails to pay applicable subscription fees.
14. Changes to These Terms
CEMR may update these Terms from time to time. Updated versions will be posted on our website and become effective upon publication.
Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any disputes arising from the use of the platform shall be subject to the jurisdiction of the competent courts of Nigeria.
